These Terms of Service ("Terms") govern your access to and use of Speckr websites, applications, and related services, including VIN tools, guest checkout flows, lookup credits, and marketplace workflows (collectively, the "Services"). By using the Services, you agree to these Terms.

1. Eligibility and Accounts

You must be at least 18 years old and able to enter a binding contract to use the Services. You are responsible for account credentials, activity under your account, and providing accurate information.

2. Acceptable Use

You may not misuse the Services, interfere with platform security, access data you are not authorized to access, scrape or reverse engineer protected functionality, upload unlawful content, or use the Services in violation of applicable law.

3. Payments, Credits, and Billing

Certain features require payment. Prices, available packages, and features may change. Lookup credits, guest checkout purchases, and marketplace-related fees are governed by these Terms and our Refund Policy.

For seller marketplace submissions, additional obligations and fee disclosures apply under Seller Terms.

4. Marketplace and User Content

You are responsible for information and materials you submit, including listing details and uploaded files. You represent that you have rights to submit that content. You grant Speckr a non-exclusive license to host, process, display, and use submitted content as needed to operate, secure, and improve the Services.

5. Intellectual Property

The Services, including software, design, trademarks, and content created by Speckr, are owned by or licensed to Speckr and protected by applicable law. These Terms do not transfer intellectual property rights to you.

6. Third-Party Services

We may use third-party providers for identity verification, payment processing, analytics, and cloud hosting. Their services are subject to their own terms and policies.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPECKR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPECKR AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, USE, OR GOODWILL. SPECKR'S AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SPECKR IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) $100.

9. Indemnification

You agree to indemnify and hold harmless Speckr and its personnel from claims, liabilities, and expenses arising out of your use of the Services, your content, or your violation of these Terms or applicable law.

10. Dispute Resolution and Arbitration

Before filing a claim, you and Speckr agree to attempt informal resolution by contacting info@speckr.com.

Except for small-claims matters and requests for injunctive relief regarding intellectual property, disputes will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under applicable consumer arbitration rules. You and Speckr waive any right to a jury trial and to participate in class or representative actions.

These Terms are governed by California law, without regard to conflict-of-laws principles, except where preempted by federal law. If arbitration is not enforceable for a claim, exclusive venue lies in state or federal courts located in California.

11. Termination

We may suspend or terminate access to the Services if we reasonably believe you violated these Terms, created legal or security risk, or used the Services in a harmful manner.

12. Changes to Terms

We may update these Terms from time to time. Updated Terms become effective when posted, unless a later effective date is stated. Continued use of the Services after updates means you accept the revised Terms.

13. Additional Legal Terms

If any provision is unenforceable, the remaining provisions remain in effect. You may not assign these Terms without Speckr's consent. Speckr may assign these Terms in connection with a merger, acquisition, or asset transfer. Delays caused by events outside a party's reasonable control do not constitute breach for the duration of the event.
